How do I know if I am an accredited investor?
Accredited Investor qualifications can be confusing. In simple and general terms, you may be an accredited investor if you fit one of the criteria below:
A. You or you and your spouse’s joint net worth exceeds $1 million, or
B. Your individual income is greater than $200,000 in each of the two most recent years or joint income with your spouse is greater than $300,000 in each of those years and there is a reasonable expectation of reaching the same income level in the current year.
If you meet either of these two criteria and have made the decision to invest, your accredited status will be validated by a third-party vendor, “Parallel Markets”. Parallel Markets is a leader in the investor validation space and will facilitate a smooth and secure onboarding experience.

What is “Safe Harbor” and what does it mean for me?
“Safe Harbor” is a series of exemptions from registration requirements of the Securities Act. This offering is subject to Rule 506(c) of Regulation D and the Safe Harbor provisions contained therein. Under Safe Harbor exemptions 1) offers may be made through general solicitation or general advertising and 2) all purchasers in the offering must be accredited investors and the issuer must take reasonable steps to verify their accredited investor status. What this means for you is that you may partake of the offering if you are an accredited investor and reasonable steps have been taken to verify your accredited status.

Can my company qualify as an accredited? entity?
In addition, your company may qualify as an accredited entity. Entities such as banks, partnerships, corporations, nonprofits, and trusts may be accredited, investors.
If your company:
A. i) Has assets greater than $5 million, ii) was not formed specifically for purchasing the subject securities, and iii) whose purchase is directed by a sophisticated person, or
B. Has all equity owners who are accredited, investors.
As related to scenario A above, a “sophisticated” person is one who has, sufficient knowledge, and experience in financial and business matters to evaluate the merits and risks of the prospective investment. Parallel Markets is also prepared and qualified to validate your company as an accredited entity.

If there is a recession, how will that affect my investment?
Founded in 1998, El Tiempo Restaurants has outlasted some of the most challenging economic times the market has seen, including dealing with the effects of COVID-19. Its resiliency is a testament of its loyal customer following and of its highly experienced executive management. However, past success does not assure future success. We encourage you to seek professional advice before making an investment as it is not guaranteed.

May I invest in more than one Note?
Yes. You may and are invited to invest in as many Notes as you wish.

Do you plan to open more restaurants?
El Tiempo Restaurants is continuously making efforts to maximize its profitability and return on assets. New site locations are always being considered, and it is reasonable to expect that further expansion will take place if it makes sound business sense.

Do you plan to “go public” or sell the company?
El Tiempo Restaurants explores all business strategies that make sound business sense. If it is advantageous do so, El Tiempo Restaurants may go public. The Note’s convertible feature addresses this possibility, giving the investor the option to conver to stock. El Tiempo Restaurants may also choose to sell the company. Debts may be settled in such a transaction and the premium paid on early extinguishment of the Note addresses this scenario.
