Answers for prospective investors.
Common questions about the notes, accreditation and the company. The Private Placement Memorandum governs if anything here differs from it. You must be an accredited investor to invest.
The notes
What am I investing in?
A five-year promissory note issued by Laurenzo's Management Company, LLC, the company that operates El Tiempo Restaurants. Each note is a loan to the company that pays monthly interest, with principal repaid at maturity.
How much is each note, and how many can I buy?
Each note costs $10,000. The minimum purchase is one note, and you may buy as many as you wish, up to the 500 notes offered.
When does the offering close?
The initial 80-day investment period runs from October 19, 2026 to January 7, 2027. El Tiempo may close the offering earlier once $2 million is raised, or extend it.
What happens to my money before the minimum is reached?
The offering is all-or-none up to the $50,000 minimum. Funds received before then are held in escrow at El Tiempo's bank and released only once the minimum is met.
How will the money be used?
To grow cash reserves and working capital, maintain favorable short-term debt terms, and fund training and targeted marketing that grow sales at recently opened restaurants.
Can I sell or transfer my note?
Not freely. The notes are not registered with the SEC, are subject to transfer restrictions, and have no public market. Plan to hold your note for the full five-year term.
Payments & repayment
How and when am I paid?
You receive 60 consecutive monthly interest payments. Your full $10,000 principal per note is repaid at the five-year maturity.
How is my interest rate determined?
By the size of your investment. Investing $10,000 to $40,000 (one to four notes purchased together) earns 12% a year, or $100 a month per note. Investing $50,000 or more (five or more notes purchased together) earns 15% a year, or $125 a month per note, plus an Elite Guest Privilege Card.
What is the Elite Guest Privilege Card?
Investors who purchase five or more notes together receive a card for 20% off dine-in food and beverage at El Tiempo Cantina and Laurenzo's Prime Rib restaurants for the life of their notes. Tax and gratuity are extra, and the card isn't redeemable for cash or combinable with other offers. It excludes the Taqueria, stadium, airport, Post and other specialty locations, catering and call-in takeout.
Do the notes convert to equity?
No. These are promissory notes that pay interest and return principal. They do not convert into an ownership interest in El Tiempo.
Do you plan to go public or sell the company?
El Tiempo evaluates every strategy that makes sound business sense. If notes are repaid early, for example as part of a sale, the prepayment terms in the PPM apply.
What if my note is repaid early?
El Tiempo may prepay a note in full at any time. If it does so within the note's first 12 months, you receive 103% of your principal balance.
Eligibility & verification
Who can invest?
Only accredited investors. In general terms, you qualify if your individual income exceeded $200,000 (or $300,000 with a spouse or partner) in each of the past two years with the same expected this year, or your net worth exceeds $1 million excluding your primary residence. Holders of certain securities licenses (Series 7, 65 or 82) also qualify.
Can my company or trust invest?
Yes, if it qualifies as an accredited entity. That generally means it has more than $5 million in assets, wasn't formed to buy these notes, and its purchase is directed by a sophisticated person, or all of its equity owners are accredited investors.
Why do I have to be verified?
Rule 506(c) lets El Tiempo advertise this offering publicly, but requires the company to take reasonable steps to confirm that every investor is accredited.
Who verifies my status?
Parallel Markets, an independent third-party verification service, handles verification for individuals and entities.
Will El Tiempo see my financial information?
No. Your financial documents go only to Parallel Markets, which keeps them confidential. El Tiempo receives confirmation of your status, not your financials.
The company
How has El Tiempo performed recently?
In 2025, when restaurant industry sales fell 3% (National Restaurant Association), El Tiempo produced about $58 million in revenue and $3.5 million in EBITDA ($6.5 million including a non-recurring capital gain) without further menu price increases. Through August 2026, sales are 3% ahead of 2025, and annual gross revenue is approximately $61 million as of the October 2026 PPM. The company also met every debt commitment through the COVID-19 period. Past results do not guarantee future performance.
How would a recession affect my investment?
The company has operated through multiple downturns since 1998, but a recession could reduce sales and cash flow available for payments. We encourage you to consult your own advisors before investing.
Who prepares El Tiempo's financial statements?
El Tiempo works with a local public accounting firm with a long-standing presence in the restaurant industry. Valuations in the PPM are based on reviewed financial statements.
What is El Tiempo's growth plan?
The strategy has two parts: drive profitability by building volume at the three most recently built restaurants, and take the brand to new markets through the Franchise Growth Program. Learn about the program.
How does the Franchise Growth Program work?
El Tiempo grants an experienced multi-unit franchise company the exclusive right to develop an entire territory, such as a metro area, state or country. The partner builds and operates, or sub-franchises, El Tiempo restaurants in full-service and fast-casual formats, following an agreed development schedule. Meeting the schedule preserves their exclusivity.
How does El Tiempo earn from franchising?
Partners either pay an upfront master franchise fee for the territory plus ongoing royalties on sales, or form a 50/50 joint venture with El Tiempo. Either way, partners provide the capital and local execution, so the brand can grow with limited direct capital outlay.
Has El Tiempo signed any franchise partners?
El Tiempo already administers franchised El Tiempo Cantinas at POST Houston (the historic Barbara Jordan Post Office) and George Bush Intercontinental Airport, with a third in Galveston's historic Strand District expected to open by the end of 2026. For the Franchise Growth Program, the company is in discussions with two successful large-scale franchise organizations. Discussions may not result in agreements.
Can I review more information or speak with management?
